These Terms of Service ("Terms") constitute a legally binding agreement between you and CC3PO LLC ("CC3PO", "we", "us", or "our"), a California limited liability company, governing your access to and use of our websites, applications, AI-powered services, and related offerings (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Service Description

CC3PO provides AI-powered business solutions including:

  • Website audits, security scans, and performance analysis
  • AI chatbots and automated customer support
  • AI voice agents and phone answering systems
  • HIPAA compliance tools and scanners
  • Content generation and marketing automation
  • IT consulting and technical support
  • Monthly subscription services and managed solutions

2. AI Services Disclaimer

IMPORTANT: CC3PO's Services utilize artificial intelligence (AI) and machine learning technologies. You acknowledge and agree that:

  • AI-generated content, recommendations, reports, and analyses are provided for advisory and informational purposes only
  • AI outputs should not be relied upon as definitive professional advice
  • All AI-generated recommendations should be reviewed and validated by qualified human professionals before implementation
  • AI systems may produce incomplete, inaccurate, or outdated information
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated output

3. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access:

  • Our Services, especially AI-powered features, may experience downtime, delays, or errors
  • We reserve the right to modify, suspend, or discontinue any Service at any time
  • Scheduled maintenance may result in temporary unavailability
  • We are not liable for any loss resulting from Service unavailability

4. User Accounts and Responsibilities

To access certain Services, you may need to create an account:

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

5. Payment Terms

For paid Services:

  • Billing: Subscription fees are billed monthly in advance unless otherwise stated
  • Payment Method: Payments are processed securely through Stripe
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Cancellation: You may cancel at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period
  • Refunds: Refunds are provided at our discretion on a case-by-case basis. No refunds for partial months
  • Price Changes: We may adjust pricing with 30 days advance notice
  • Late Payments: Unpaid accounts may be suspended after 7 days past due

6. Intellectual Property

CC3PO Ownership: All software, algorithms, designs, logos, trademarks, and content provided through our Services are owned by CC3PO LLC and protected by intellectual property laws.

Your Data: You retain ownership of all data, content, and materials you submit to our Services ("Your Data"). By using our Services, you grant us a limited license to access, process, and analyze Your Data solely for the purpose of providing the Services.

Generated Content: AI-generated reports, recommendations, and outputs created specifically for you may be used by you for your internal business purposes. You may not resell, redistribute, or claim ownership of our underlying AI models or platform.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our Services, including all AI-generated content, are provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • CC3PO shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim
  • We are not liable for decisions you make based on AI-generated recommendations or audit results

8. Indemnification

You agree to indemnify, defend, and hold harmless CC3PO LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of AI-generated content in violation of applicable laws

9. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Dispute Resolution: Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration in Fresno County, California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions.

Injunctive Relief: Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended period of inactivity

Upon termination, your right to use the Services ceases immediately. Provisions regarding intellectual property, limitation of liability, and indemnification survive termination.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or prominent notice on our website. Continued use of the Services after changes constitutes acceptance of the updated Terms.
